Terms of Service

These Terms of Service ("Terms") govern your use of The Waiver Wire website and platform (the "Service"), operated by The Waiver Wire ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Acceptance of Terms

By creating an account, joining the waitlist, or otherwise using The Waiver Wire, you confirm that you are at least 18 years old and have the authority to enter into these Terms on behalf of yourself or the company you represent. Your continued use of the Service constitutes ongoing acceptance of these Terms and any updates we may make to them.

2. Description of the Service

The Waiver Wire is a talent marketplace that connects companies navigating workforce changes ("Releasing Companies") with companies actively hiring ("Hiring Companies"). The platform facilitates introductions between parties. We are an introduction service only. We do not act as an employer, staffing agency, recruiter, or employment intermediary. All employment decisions, offers, agreements, and negotiations are made directly between the parties involved.

3. Company Responsibilities

Releasing Companies

If you are listing employees on the platform, you agree to:

  • Obtain explicit, informed consent from each employee before creating a profile on the platform
  • Provide accurate and truthful information about the employee's role, skills, and experience
  • Comply with all applicable employment laws, including notice requirements, anti-discrimination laws, and data protection regulations
  • Not use the platform to circumvent legal obligations related to layoffs, including the WARN Act or equivalent local laws
  • Respect the employee's right to withdraw consent and remove their profile at any time

Hiring Companies

If you are browsing or claiming talent on the platform, you agree to:

  • Represent your company, open roles, and intentions accurately
  • Use candidate information solely for the purpose of evaluating potential employment
  • Not contact candidates outside the platform's introduction process without authorization
  • Comply with all applicable employment and anti-discrimination laws in your hiring practices

4. Employee and Candidate Rights

Employees whose profiles appear on the platform have the following rights:

  • Profiles may only be created with the employee's explicit, informed consent
  • Employees may withdraw consent and request removal of their profile at any time
  • Profiles are anonymized by default. Personal identifiers are only shared after both the employee and the hiring company agree to proceed
  • Employees are not obligated to accept any introduction, interview, or offer made through the platform
  • Employees may contact us directly at legal@thewaiverwire.net with questions or concerns about their data

5. The Waiver Wire's Role and Limitation of Liability

The Waiver Wire acts solely as a facilitator. We provide the platform and technology that enables connections between companies. We are not a party to any employment agreement, offer, or arrangement that results from use of the platform. Specifically:

  • We do not guarantee that any listing will result in a match, introduction, or successful hire
  • We are not responsible for the accuracy of information provided by companies or candidates
  • We are not liable for employment decisions, compensation negotiations, or workplace outcomes resulting from platform introductions
  • We are not responsible for any disputes between releasing companies, hiring companies, or employees
  • To the maximum extent permitted by law, our total liability for any claim arising from the Service is limited to the amount you paid to us in the 12 months preceding the claim, or $100, whichever is greater

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

6. No Guarantee of Matches

We do not guarantee that any talent profile will receive expressions of interest, that any match will result in a successful introduction, or that any introduction will result in employment. AI-generated fit scores, rankings, and recommendations are informational tools only and do not constitute a guarantee of compatibility or success.

7. Prohibited Uses

You agree not to use the Service to:

  • Discriminate against employees or candidates based on race, gender, age, religion, disability, sexual orientation, national origin, or any other protected characteristic
  • Misrepresent your identity, company, or the nature of available positions
  • Scrape, copy, or redistribute platform data for unauthorized purposes
  • Use candidate data for any purpose other than evaluating potential employment through the platform
  • List employees without their knowledge or consent
  • Attempt to circumvent platform security, access controls, or anonymization features
  • Use the Service for any illegal purpose or in violation of applicable law

8. Intellectual Property

All content, branding, design, software, algorithms, and technology comprising The Waiver Wire platform are the exclusive property of The Waiver Wire and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works of any part of the Service without our prior written consent. Data you submit to the platform remains yours, but you grant us a license to use it for the purposes described in these Terms and our Privacy Policy.

9. Termination of Access

We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, for conduct that we believe violates these Terms, is harmful to other users, or is otherwise inappropriate. You may also terminate your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately. We may retain certain data as required by law or for legitimate business purposes, as described in our Privacy Policy.

10. Dispute Resolution and Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any dispute arising from these Terms or your use of the Service will first be addressed through good-faith negotiation. If the dispute cannot be resolved informally within 30 days, it will be resolved through binding arbitration in Los Angeles County, California, in accordance with the rules of the American Arbitration Association. You agree to waive any right to a jury trial or to participate in a class action. Nothing in this section prevents either party from seeking injunctive relief in a court of competent jurisdiction.

11. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the effective date and, where appropriate, notify you via email or through the platform. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.
